a <br />and officer of APMSTRONG. In the performance of her duties, <br />Ruth Ruggles shall have the title Financial Administrator and <br />shall be privy to all public and confidential records of the <br />municipality pertaining to finance. ARMSTRONG agrees that Ruggles <br />shall maintain that degree of confidentiality required by the <br />laws of the State of Ohio, the United States of America and <br />MA~'FIELD VILLAGE in the performance of her duties, as though <br />she were a public official. In the event of the absence of <br />Ruggles, through unavoidable circumstances, ARI~?STRONG may appoint <br />another person with similar qualifications to act in her stead. <br />Section 3. For all services performed pursuant to <br />•the terms of this contract, VILLAGE shall pay to ARMSTRONG the <br />sum of One Thousand Dollars ($1,000.00) per month, payable <br />monthly, measured as of and from July 1, 1981. In addition, <br />ARMSTRONG shall be reimbursed for all reasonable and necessary <br />out-of-~pocket expenses recognized by the Internal Revenue Service <br />of the United States of America as reasonable and necessary <br />business expen~s and accounted for in the same manner as is <br />required by Internal Revenue Service regulation. It is <br />specifically understood and agreed that Ruggles is an employee <br />of ARMSTRONG and shall not be considered an employee of the <br />VILLAGE for purposes of Worker's Compensation, unemployment <br />compensation, or any fringe benefits otherwise provided to <br />employees of the VILLAGE, including pension benefits applicable <br />to employees of subdivisions of the State of Ohio. <br />Section 4. VILLAGE agrees that Ruggles shall maintain <br />membership in the Municipal Finance Officer's Association and <br />such shall be a reimbursable expense under this Contract. <br />Section 5. ARP~STRONG shall devote such time and <br />services of its employees as are necessary to perform all of <br /> <br />-3-~ <br />
