ORDINANCE NO. <br />Page -2- <br />The Company's transmission and distribution system, poles, <br />wires and appurtenances shall be located, erected and maintained so <br />as not to endanger or interfere with the lives of persons, or to inter- <br />fere with improvements the Village may deem proper to make, or to <br />hinder unnecessarily or obstruct the free use of the streets, alleys, <br />bridges or other public property. Removal of poles and equipment when <br />necessary to avoid such interference will be at The Company's expense. <br />If the Village requires the removal of facilities for any other <br />reasons, aesthetic considerations, or a policy requiring underground <br />utilities, The Company shall remove its facilities as directed by the <br />Director of Services and the Village shall reimburse The Company for <br />all expenses and costs associated therewith. <br />Construction and maintenance of the transmission distribution <br />system shall be in accordance with the provisions of the National <br />Electrical Safety Code of the National Board of Fire Underwriters. <br />All installations of equipment shall be of permanent nature, <br />durable and installed in accordance with good engineering practice, and <br />of sufficient height to comply with all existing Village regulations, <br />ordinances, and State laws. <br />In the event that at any time during the period of this <br />franchise the Village shall elect to alter or change the grade of <br />any street or other public way, or to make any other improvement <br />which the Village may deem proper to make, The Company upon thirty <br />(30) days notice by the Village shall remove, relay or relocate its <br />poles, wires, cables, conduits and other fixtures at its own expense. <br />The Company shall, on the request of any person holding a building <br />moving permit issued by the Village, temporarily raise or lower its <br />wires to permit the moving of buildings. The expense of such temporary <br />removal, raising or lowering of wires shall be paid by the person <br />requesting the same, unless the building is being moved by the Village <br />or the Board of Education. The Company shall be given not less than <br />seventy-two (72) hours advance notice to arrange for such temporary <br />wire changes. <br />Section 5. In the maintenance and operation of its television <br />transmission and distribution system in the streets, alleys, and other <br />public places, and in the course of any new construction or addition <br />to its facilities, The Company shall proceed so as to cause the least <br />possible inconvenience to the general public; any opening or obstruc- <br />tion in the streets or other public places made by The Company in the <br />course of its operations shall be in accordance with the ordinances <br />and regulations governing the making of openings in streets, sidewalks, <br />public ways or places of the Village of Mayfield, Ohio established by <br />the Council and the Department of Service of said Village, and which <br />are in effect at that time. <br />Section 6. The Company shall indemnify and hold the Village <br />harmless from and against all claims, demands, actions, causes of <br />action, costs, expenses, loss or damage incurred by or asserted against <br />the Village, directly or indirectly, arising out of or connected with
