ORDINANCE NO. Page -2- The Company's transmission and distribution system, poles, wires and appurtenances shall be located, erected and maintained so as not to endanger or interfere with the lives of persons, or to inter- fere with improvements the Village may deem proper to make, or to hinder unnecessarily or obstruct the free use of the streets, alleys, bridges or other public property. Removal of poles and equipment when necessary to avoid such interference will be at The Company's expense. If the Village requires the removal of facilities for any other reasons, aesthetic considerations, or a policy requiring underground utilities, The Company shall remove its facilities as directed by the Director of Services and the Village shall reimburse The Company for all expenses and costs associated therewith. Construction and maintenance of the transmission distribution system shall be in accordance with the provisions of the National Electrical Safety Code of the National Board of Fire Underwriters. All installations of equipment shall be of permanent nature, durable and installed in accordance with good engineering practice, and of sufficient height to comply with all existing Village regulations, ordinances, and State laws. In the event that at any time during the period of this franchise the Village shall elect to alter or change the grade of any street or other public way, or to make any other improvement which the Village may deem proper to make, The Company upon thirty (30) days notice by the Village shall remove, relay or relocate its poles, wires, cables, conduits and other fixtures at its own expense. The Company shall, on the request of any person holding a building moving permit issued by the Village, temporarily raise or lower its wires to permit the moving of buildings. The expense of such temporary removal, raising or lowering of wires shall be paid by the person requesting the same, unless the building is being moved by the Village or the Board of Education. The Company shall be given not less than seventy-two (72) hours advance notice to arrange for such temporary wire changes. Section 5. In the maintenance and operation of its television transmission and distribution system in the streets, alleys, and other public places, and in the course of any new construction or addition to its facilities, The Company shall proceed so as to cause the least possible inconvenience to the general public; any opening or obstruc- tion in the streets or other public places made by The Company in the course of its operations shall be in accordance with the ordinances and regulations governing the making of openings in streets, sidewalks, public ways or places of the Village of Mayfield, Ohio established by the Council and the Department of Service of said Village, and which are in effect at that time. Section 6. The Company shall indemnify and hold the Village harmless from and against all claims, demands, actions, causes of action, costs, expenses, loss or damage incurred by or asserted against the Village, directly or indirectly, arising out of or connected with
