ORDINANCE N0. <br />Paqe -3- <br />the operations of The Company within the Village or the exercise <br />of any right granted herein. The Company shall carry insurance, to <br />protect the parties hereto from and against all claims, demands, actions, <br />judgments, costs, expenses, and liabilities, which may arise or re- <br />sult, directly or indirectly, from or by reason of such loss, injury <br />or damage. The amounts of such insurance against liability due to <br />physical damages to property shall not be less than Five Hundred <br />Thousand Dollars ($500,000.00) as to any one (1) accident and not less <br />than One Million Dollars ($1,000,000.00) aggregate in any single <br />policy year; and against liability due to bodily injury or to death <br />of persons not less than Five Hundred Thousand Dollars ($500,000.00) <br />as to any one (1) person and no less than One Million Dollars <br />($1,000,000.00) as to any one (1) accident. The Company shall also <br />carry such insurance as it deems necessary to protect it from all <br />claims under the Workmen's Compensation Laws in effect that may be <br />applicable to The Company. All insurance required by this agreement <br />shall be and remain in full force and effect for the entire life of <br />this ordinance. Said policy or policies of insurance or a certified <br />copy or copies thereof shall be approved by the Director of Law of <br />said Village and deposited with and kept on file in the o£fice of said <br />Director. <br />Section 7. The Company's performance of its obligations <br />under the franchise shall be conditioned upon The Company's receiving <br />such licenses and/or qrants as may be necessary to the performance of <br />this ordinance, from duly constituted agencies or the Federal Govern- <br />ment or the State of Ohio, which licenses and/or grants The Company <br />aqrees to apply for immediately upon its acceptance of this ordinance. <br />Section 8. The Company agrees that it will immediately, <br />upon the passage of this ordinance, proceed to complete the enqineering <br />for the proposed television cable service and negotiate those pole <br />line contracts required for said installation and complete and meet <br />all rulinqs established by any other governmental agency. If said <br />Company fails to exercise the rights therein granted, or £ails to <br />provide the services herein contemplated within two (2) years of its <br />acceptance of this franchise, said franchise herein authorized may be <br />revoked at the discretion of the Council of the Village of Mayfield <br />forthwith. <br />Section 9. Installation and maintenance shall be such that <br />no interference is caused to existing communication systems and so as <br />not to distort or interfere with direct, o£f the air television signals. <br />The Company shall, within the area of technical feasibility; (a) Pro- <br />duce a picture that is undistorted and free from ghost images on <br />typical standard production TV sets in good repair; (b) Transmit <br />signals of adequate strength to produce qood pictures at all outlets <br />without causing cross modulation in the cables or interfering with <br />other electrical or electronic systems; and permit adjustment of <br />signal strength as desirable to provide optimum conditions; (c) Demon- <br />strate by instruments and otherwise to subscribers that a signal of <br />adequate strenqth and quality is beinq delivered.
