ORDINANCE NO. <br />Page -5- <br />The Company shall have the right to make all rules and <br />regulations governing its services providing same are uniform and not <br />inconsistent with the terms thereof, The Company shall have the r ight <br />to offer additional special services, excluding broadcast signals, <br />at a premium rate. Such services and rates shall be set at the sole <br />discretion of The Company. <br />The Company shall have the authority to charge and collect <br />the schedule of installation charges and rates contained in the above <br />paraqraph unless and until same shall be increased. Effective one <br />(1) year from the initiation of service, The Company may at any time, <br />with ninety (90) days notice to the Village, institute a rate increase <br />not to exceed any percentum increase in the Consumer Price Index when <br />said Index has reflected a percentum increase over either: <br />(a) The end-of-the-year Index figure for the base year of <br />1979; or <br />(b) The Consumer Price Index figure as of the date of the <br />last rate increase; <br />whichever is later. Provided further, that such increase shall occur <br />no more than once in any calendar year, and provided that within sixty <br />(60) days of the notification, the Village does not notify The Company <br />that a hearing shall be held on the proposed rate increase, which--- <br />hearing and vote thereon shall be held within sixty (60) days follow- <br />ing the date of setting the hearing, otherwise said increase shall <br />take e£fect. The only grounds for disapproval of a rate increase <br />otherwise permitted by this paragraph shall be a find that The <br />Company is not acting in the best interest of the public interest, <br />convenience or necessity. <br />Section 12. The Company agrees to pay to the Village a <br />franchise fee of three percent (3%) of the gross receipts received from <br />the charges paid by or on behalf o£ the residents of the Village for <br />a standard cable television service as set forth in paraqraphs (b) and <br />(c) of Section 11. <br />The fee paid to the Village shall be calculated on the calen- <br />dar year basis and payment shall be made for each calendar year within <br />sixty (60) days following the end of such year. The relevant records <br />of The Company shall be open to inspection by the Village's repre- <br />sentatives for a period of six (6) months following the delivery of <br />The Company's annual statement. <br />Section 13. The Company reserves the right to terminate <br />any part or all of its operation if the Village grants to any other <br />person, persons, firm or corporation rights similar to those hereby <br />granted to operate in the Village of Mayfield, such termination to <br />become effective with the effective date of such additional grant. <br />Section 14. All of the terms, conditions, and provisions of <br />the Charter of the Village of Mayfield as it now exists, relating to <br />franchise and applicable hereto shall be considered a part of this
