($1.00). and other good-and valuable consideration. receipt of which is__hereby __ <br />.:_..: ____ _~acknowledged=•a-non-exc-lusive- Access-Easerent-("Easement")=on;-over-and across the-- --- ------ <br />_ - --- <br />Property consisting of a corridor -lying along the alignment shown on the map attached as <br />Exhibit B, for the duration and purpose set forth herein below and consisting of the rights <br />hereinafter enumerated. ` <br />2. Duration. <br />This Easement is granted in perpetuity and shall run with the land so as to be <br />forever binding upon the parties hereto and their respective heirs, personal representatives, <br />administrators, successors and assigns. <br />Commencing ten (10) years after the date this Agreement is entered into, and <br />occurring no more frequently than once in a ten (10) year period thereafter, upon a belief <br />that Grantee's use of the Easement has substantially changed, Grantor may send a written <br />request to Grantee to review the status of Grantee's use of the Easement. If such use has <br />substantially changed, the Parties shall meet to determine whether any amendment to this <br />Agreement is necessary. If such use has completely ceased, the Parties shall discuss <br />whether termination of this Agreement is necessary. <br />3. Purpose. <br />The purpose of this Easement is to allow modification, improvement, and/or <br />construction of a driveway and parking facilities at Grantee's sole expense, and to allow <br />pedestrian and vehicular ingress and egress, parking, maintenance, temporary and/or <br />permanent improvements on, over, and under a portion of the Property, also at Grantee's <br />sole expense, to assist in continuing to provide community, recreational and educational <br />opportunities for the use and benefit of the Grantee and the general public. <br />4. Rights Covered. <br />The rights and corresponding obligations conveyed by this Easement Agreement <br />are as follows: <br />A. Grantee shall have the right, at its sole risk and expense, to use the Property <br />under such terms and conditions as it deems reasonably necessary, and to <br />allow the public to use the Property for vehicular and pedestrian ingress and <br />egress to the Village Community Room and all related purposes, and shall <br />provide all facilities, safeguards, equipment or improvements the Village <br />deems necessary or desirable for such purposes. <br />2 <br />
