,?'? <br />10"? <br />City of North Olmsted - Part One RFP Background Information 14 <br />SECTION FOUR: CITY RFP REQUIREMENTS <br />1. Non-Discrimination in Employment <br />In compliance with this RFP, the Proposer agrees not to discriminate against any <br />employee or applicant for employment because of age, race, color, sex, national origin <br />or disability in accordance with State and Federal law. Proposer is required to include <br />a similar equal opportunity in employment provision in all subcontracts, which shall <br />include but not be limited to the following: employment, promotion, demotion or <br />transfer, recruitment or recruitment advertising, lay-off or termination, rates of pay <br />or other forms of compensation, and selection for training including apprenticeship. <br />The Proposer further agrees to provide equal employment opportunities for persons <br />with disabilities to the extent required by the ADA. The Proposer agrees to post in <br />conspicuous places equal opportunity in employment notices to be provided by the City <br />pertaining to Federal and State non-discrimination laws. <br />II. Books and Records: City's Right to Audit <br />The Proposer shall, at all times during the term hereof, maintain complete and accurate <br />books and records the operations of the System in a form consistent with good <br />accounting practices, including such books and records as would normally be examined <br />by an independent certified public accountant in performing an audit or examination of <br />the contractor's receipts and expenses in accordance with generally accepted auditing <br />standards. The City at any time deemed necessary by the City to have a right to audit <br />such books and records. <br />III. Indemnification <br />To the fullest extent permitted by law, successful Proposer shall indemnify, <br />defend and hold harmless the City and the City's officers, agents and employees <br />from and against any and all loss, damages, obligations, liabilities and expenses <br />(including reasonable attorneys' fees) that arise directly or indirectly from: <br />Any infringement of any copyright, trademark, patent, or other proprietary <br />rights in connection with any software, documentation, services or otheY <br />products supplied directly or indirectly by PYOposer in conrcection with this RFP <br />(or any allegation of any af the foregoing); or any act(s) of negligence oY willful <br />misconduct by Proposer or any of its agents, employees or subcor2tractors (or <br />any allegatioias of any of tlie foYegoimg), irzcludiizg but not lirni.ted to aiay liability <br />caused by an accident or other occurrence resulti.ng in bodily injury, death, <br />sickness or disease to any person(s) or damage or destructiorz to any property, <br />reccl or personal; or any act(s) of gros.s 7zegligence or tivillful misconduct by <br />Proposer or any of its agents, employees or subcor2tractors whicli resa-clt iri tlze <br />work product pr-ovided by the Proposer beirzg de,fective (or any allegations of any <br />of the foregoirig), including but not limited to any liability caused by an accident <br />or other• occurrence resulting in bodily injury, death, sickness or disease to any <br />persolx(s) or damage or destruction to any propert}1, real or personal; or <br />Any claiins seeking payrnent for labor or rnaterials provided by th.e Proposer <br />under tlzis RFP. <br />?? ????r ???*•
