?... h <br />City of North Olmsted, NY / xxx xxxx 24 <br />period, in addition to any remedy contained herein, CITY shall have the <br />right to cancel this Agreement. <br />iv. If CITY chooses to cancel the purchase of any application pursuant to <br />this Section, CITY shall receive from the VENDOR a refund of all sums <br />previously paid by CITY to the VENDOR. Such refund shall be made by the <br />VENDOR fourteen (14) days after notice by CITY to the VENDOR of such <br />cancellation. <br />v. Immediately upon successful completion of the performance period, <br />CITY shall notify the VENDOR in writing, that the application software has <br />been accepted. <br />Training Acceptance <br />Training acceptance for the hours of training provided by VENDOR will be <br />conferred by CITY in writing as affirmed by the initialed training log per the <br />Software Implementation and payment fees, as listed in exhibit herein. Such <br />training is to be authorized by the CITY's Mayor or his designee (CITY Project <br />Manager), and conducted by VENDOR. <br />3. Final System Acceptance and Acceptance Remedies <br />VENDOR shall successfully demonstrate the integrated functionality of the <br />components outlined in this sub-section of the Agreement. Said demonstration will last <br />for a period of sixty (60) consecutive calendar days after all application specified in <br />proposal and applicable POS hardware is accepted and other defined acceptances <br />during which the POS hardware and specified application software shall function per <br />their individual specifications and in a totally integrated manner. When these <br />components are successfully tested, CITY will proceed to make the payment outlined <br />in this Agreement. In the event that CITY does not approve in writing the system's <br />test within sixty (60) calendar days of its initiation or at some later date, the CITY <br />shall have the same remedies as outlined in Section VIII, Disputes, or the CITY, at its <br />sole discretion, shall elect to allow VENDOR to continue with the system's test until <br />accepted. <br />AA. FIRM PRICES <br />Transportation, Delivery, Handling and Installation <br />All prices for the products and services to be furnished to CITY by VENDOR <br />pursuant to this Agreement are inclusive of the costs of transportation, delivery, <br />handling, insurance, uncrating, and installation. <br />Prepared by Barry Strock Consulting Associates, Inc.
