The CITY will notify VENDOR in writing upon <br />acceptance of each application module. <br />Third Party Software, such as word processing must demonstrate its <br />ability to operate by performing at least five functions selected by CITY <br />at random before Acceptance is conferred by CITY. <br />Application Software Acceptance. Application Software will be timely <br />installed by VENDOR on the computer hardware in accordance with the <br />timetable set forth in Exhibit C. <br />i. CITY personnel will be trained by the VENDOR in the use of the <br />Application Software. The VENDOR shall provide CITY written <br />certification upon completion of the training. CITY agrees to accept the <br />application software with respect to each application installed, of which there <br />shall be a performance period not to exceed thirty (30) working days. The <br />performance period shall commence on the first work day after receipt by <br />CITY that training on the appropriate application software is complete. It is <br />hereby understood that the "performance period" begins after training, <br />implementation consulting, modification development, conversion and <br />documentation is completed. The "training process" shall include a noting on <br />a special copy of the xxx xxxx Capital User Manual, the RFP, and Vendor's <br />Proposal all of the requested and explicitly provided functions. Thus prior <br />to the performance period, all items will be affirmed (or disaffirmed) <br />attesting to the availability of each item [to be noted in RED ink]. <br />ii. During the performance period CITY shall operate the application <br />software in accordance with CITY's normal operating practices. CITY shall <br />determine during this period if the application software performs in <br />accordance with all specifications set forth in the RFP, all representations <br />contained in the Proposal and acceptance test, the brochures, and the <br />documentation as well as all representations set forth in the VENDOR's <br />planning documents. In the event that the application software fails to <br />operate in accordance with the above-stated criteria, VENDOR shall, at the <br />option of CITY and without election of remedies modify or adjust the <br />application software to meet said specifications at VENDOR's expense. <br />iii. After any adjustment or modification, a second performance period shall <br />commence upon written notice of completion of said adjustment or <br />modification.
