INDEMNIFICATION <br />11.1 The CONTRACTOR hereby agrees to indemnify and hald the CITY <br />harmless from and a.gainst any and all losses, damaQes, setClements, costs, charges, or other <br />expenses or Iiabilities of every kind and character arising out of or relating to any and all <br />claims, liens, demands, obligations, actions, proceedings, or causes of action of every kind <br />and chara.cter arising out of the acts, omissions and/or negIiQence of the CONTRACTOR, <br />its employees, subcontractors, materialmen, agents or others acvng in concert with the <br />CONTRA.CTOR <br />ARTICLE 12. MISCELLANEOUS <br />12.1 Nothing contained in this Agreement sha11 be construed as creatizig any <br />personal Iiability on the part of any employee or official of the CITY. <br />12.2 hio assionment by a party hereto of any rights, obliaations, or interests in <br />this Agreement shall be pemutted without the prior written consent of the other party; and <br />specifically, but without Iimitation, moneys tha.t may become due and rnoneys that are <br />due may not be assigned without such consent (except to the extent that the effect of this <br />restriction may be Iimited by law), and unless specifically stated to the contrary in any <br />written consent to an assiariment, no assignment will release or discnarje the assignor <br />from any duty or responsibility under the Agreement. <br />12.3 OW'??TER and CONTRACTOR each binds itself, its partners, succ--ssors, <br />assigns and leQa1 representatives to all of the covenants, agreements and obligations <br />contai.ned in the Aereement. <br />12.4 Lf any provision of this Agreement or the applicauon thereof to any person or <br />circumstances is held invalid, such invalidity shail not affect other provisians or <br />7 <br />
