AGREEMENT FOR <br />LABOR NEGOTIATOR SERVICES <br />THIS AGREEMENT is made and entered into between the CITY OF NORTH <br />OLMSTED ["City"], a municipal corporation of the State of Ohio, acting by and through <br />its Mayor, and the Law Firm of Johnson, Miller & Schmitz LLP ["Labor Negotiator"], <br />whose address is 1700 North Point Tower, 1001 Lakeside Avenue, Cleveland, Ohio <br />44114. <br />WHEREAS, the City has a need for a labor negotiator for the next cycle of collective <br />bargaining for City collective bargaining agreements having terms that end in either the <br />year 2011 or 2012; and <br />WHEREAS, City's Council, pursuant to Ordinance 2011- ,has authorized the <br />Mayor to enter into a new contract with Labor Negotiator providing for the latter to serve <br />as the City's labor negotiator in connection with the renewal or modification of the City's <br />collective bargaining agreements which have terms ending in either the year 2011 or <br />2012; <br />NOW, THEREFORE, in consideration of the promises set forth, the City and Labor <br />Negotiator agree as follows: <br />1. Scope of Services. Labor Negotiator shall serve as the Mayor's designated Labor <br />Negotiator in negotiating renewals or modifications of the City's collective bargaining <br />agreements that have terms ending in 2011 or 2012. The labor negotiator assigned to <br />provide the services called for in this Agreement shall be Gary Johnson, unless otherwise <br />requested and authorized by City. The Mayor shall be the representative of the City to <br />accept or give any request, approval, notice or the like under this Agreement. <br />2. Term of Agreement. The term of this Agreement shall from the date of execution <br />of this Agreement until to the date upon which the Mayor executes the last new collective <br />bargaining agreement for the City collective bargaining agreements with terms ending in <br />either 2011 or 2012. <br />3. Confidentiality of Information. Labor Negotiator shall retain in strictest confidence <br />all information furnished by the City and the results of any reports or studies conducted <br />as a result of this Agreement, along with all supporting work papers and any other <br />substantiating documents. Labor Negotiator shall not disclose such information to others <br />without the prior written consent of the Mayor. <br />4. Compensation. The City shall compensate Labor Negotiator for services performed <br />under this Agreement as described in Exhibit A attached and incorporated by this <br />reference. The compensation for Labor Negotiator provided by this Agreement is entire <br />and complete. Labor Negotiator is not to receive and will not receive any other <br />compensation in connection with this Agreement. <br />
