4. Arbitration <br />If claims, disputes, and other matters in question arising out of, or related to this <br />Agreement or the breach thereof, the Owner and consultant shall negotiate in an <br />atternpt to resolve the dispute. Should negotiations be unsuccessful, a mutually <br />acceptable third party may be engaged to mediate the dispute,. with expenses equally <br />shared between the two. <br />5. Liability for Work Performed <br />Serafin Golf Course Design, Inc. shall not be party to, nar obligated under, any <br />contract entered into by the Owner for construction work relative to this project. Nor <br />shall Serafin Galf Com•se Design, Inc. be responsible for any Contractors' <br />perfoimance, or lack of performance, under any such contracts. The Owner agrees to <br />indemnify and save liarmless Serafin Golf Course Design, Inc. froni any and all <br />cla:ims, costs or expenses arising out of the construction of the golf course; ex<xept that <br />the Owner sha11 not be required to indezxinify Serafin Golf Course Design, Inc. from <br />any claims, costs or expenses arising out of the negligence of Serafin Golf Course <br />Design, Inc. <br />6. Extent of Aareement <br />This Agreement rapresents the entire and integrated agreement between the Owner <br />and Serafin Golf Course Design, Inc. and supersedes all prior negotiations, <br />representations or agreements related to the subject matter hereof, either written or <br />oral.
