Council Minutes of 10 -21 -2014 revised agreement which also serves as the Exhibit to this Resolution. The meeting was adjourned at 7:10 p.m. Councilman Barker made a motion to amend Resolution 2014 -68 to add the following to Section 1 "Community Diversion Program Agreement," marked as Exhibit "A" and attached hereto, with only such changes therein as are not substantially adverse to the City and which are approved by the Director of Law. The character of any such changes as not being substantially adverse to the City shall be evidenced conclusively by the execution of the agreement by the Mayor and the approval of the agreement by the Director of Law. The motion was seconded by Councilwoman Williamson and passed unanimously. Resolution 2014 -68 amended 7 -0. Councilman Kearney, Chairman of the Finance Committee: The Finance Committee met Tuesday October 14, 2014 at 7:10 p.m. Present were committee members Kearney, Schumann and Barker; Council members Brossard, Hemann, Limpert and Williamson; Mayor Kennedy, Law Director Gareau, Safety /Service Director Glauner, Assistant Finance Director Sperling and Recreation Commissioner Drenski. • Discussed first was Ordinance 2014 -71 which is an Ordinance dispensing with the RFP process and authorizing the Mayor to enter into a contract with Ciuni & Panichi to provide GAAP conversion assistance services for the preparation of the Comprehensive Annual Financial Report (CAFR) for 2014 and declaring an emergency. Ass't Finance Director Sperling explained that this firm has assisted in the past with audits, and will now assist the city with the GAAP conversion process. The committee voted 3 — 0 to recommend approval of Ordinance 2014- 71 to Council with suspension. • Discussed next was Resolution 2014 -69 which is a Resolution dispensing with the Statement of Qualifications "SOQ" process and authorizing the Mayor to enter into a contract with the law firm of Squire Patton Boggs LLP to provide professional services as the city's Bond Counsel, and declaring an emergency. John Larson has represented Squires and has worked with the city since the late 1970's. Their prices are very competitive, and they make themselves available whenever the city needs their assistance. The last time the city went out to bid for this service, only two firms responded. The committee voted 3 — 0 to recommend approval of Resolution 2014 -69 with suspension. Councilman Brossard, Chairman of the Recreation, Public Parks & Buildings Committee: The Recreation Committee met Tuesday October 14, 2014 at 7:20 p.m. Present were committee members Brossard, Kearney and Schumann; Council members Barker, Hemann, Limpert and Williamson; Mayor Kennedy, Law Director Gareau, Ass't Finance Director Sperling; Safety /Service Director Glauner and Recreation Commissioner Drenski. • Discussed was Resolution 2014 -70 which is a Resolution authorizing the Mayor to enter into a contract with Diane Tomer for the purpose of engaging her to sell advertising space at the North Olmsted Recreation Center.
