the projects are in various degrees of planning and development. Under this agreement, <br />there would be a 75/25% split with Olmsted Township receiving 75% and North Olmsted <br />receiving 25%, or approximately $47,000 annually in income tax revenue. North <br />Olmsted would also be responsible for 25% of any associated costs or liabilities. It was <br />indicated that the costs and risks associated would be limited to startup and <br />administrative costs, including legal and financial management through the North <br />Olmsted Law and Finance Departments. The agreement does not anticipate major <br />infrastructure obligations or debt issuance, as these costs are to be covered by the <br />developers. There was discussion regarding infrastructure, including wastewater <br />treatment. It was determined that regardless of whether the JEDD goes into effect, the <br />existing wastewater treatment systems in agreement will remain unchanged, as they <br />are already governed by current regional mandates. It was also determined that the <br />roads within the JEDD will be private. The JEDD will be governed by a board with <br />members appointed by the city, township, and businesses within the JEDD. The board <br />approves any budgets and income tax and are required to meet at least once annually. <br />There were several questions raised by Council, including discussion about the 75/25% <br />split and whether this split is equitable based on an existing JEDD between Olmsted Falls <br />and Olmsted Township, which is a 50/50% split. It was indicated that the split directly <br />impacts the share of costs and liabilities, so if the revenue were to increase, then the <br />associated risk could also increase. There was also questions regarding the annexation <br />language within the agreement, as it appears overly broad and may restrict the ability to <br />annex township land beyond the JEDD area. Additionally, the timeframe outlined in the <br />annexation provision is unclear about whether it is intended to apply in perpetuity. <br />Questions were also raised about the makeup and governance of the JEDD board and <br />the need for a better definition of the risk and liabilities associated with the agreement. <br />Law Director Gareau stated that the law department had limited involvement in the <br />contract review and negotiations and indicated that an additional review of the <br />agreement would be beneficial to answer outstanding questions. Following additional <br />discussion and comments, the Committee voted 3-0, to hold Resolution 2026-7 in <br />Committee.
